Alpha Neon Ambassador Program Operating Agreement

1. Program Overview

The Program allows approved Ambassadors to earn commissions by promoting and linking to our products on their own websites, mobile apps, or social platforms. We provide unique tracking links (“Ambassador Links”) and marketing content (“Assets”) to help Ambassadors generate referrals.

2. Eligibility and Approval

To participate, you must submit a complete application including your website, social media handles, or platforms you intend to use. We may reject or remove Ambassadors at our sole discretion, including if your content:
- Promotes illegal, hateful, defamatory, or discriminatory content
- Infringes intellectual property or data protection laws
- Uses misleading or spam-based promotion methods

You must keep all contact and payment information up to date. We may communicate important updates via the email registered with your account.

3. Ambassador Link Usage

You may only use the tracking links and assets provided by Alpha Neon. These links must not be altered and must be clearly disclosed as Ambassador links where legally required (e.g., in compliance with UK ASA guidelines and FTC disclosure rules).

Use of links in mobile apps must be pre-approved and compliant with Alpha Neon’s guidelines.

4. Commission and Payment (Store Credit Only)

You will earn commission in the form of store credit for Qualifying Purchases made via your Ambassador links. A Qualifying Purchase is defined as:
- A product purchase made directly via your Ambassador link
- Not cancelled, refunded, or returned within 30 days
- Not made by you or someone acting on your behalf

No cash payments will be made. Commissions will be credited to your Alpha Neon customer account as store credit and may only be redeemed against purchases on the Alpha Neon website. Credit is non-transferable, holds no cash value, and may not be withdrawn, exchanged for money, or applied outside of Alpha Neon’s official website.

Store credit is typically applied within 30 days following a completed and confirmed transaction. You must maintain an active customer account to receive and redeem earned credit.

5. Ambassador Responsibilities

You are solely responsible for:
- Your website, app, or social media content
- Compliance with all applicable UK laws (e.g., Data Protection Act, UK GDPR, ASA advertising standards)
- Disclosing Ambassador relationships clearly
- Not impersonating Alpha Neon or creating confusion

You must not:
- Use paid search advertising (e.g., Google Ads) bidding on Alpha Neon’s brand terms
- Post Ambassador links on discount/coupon sites without written permission
- Use misleading marketing tactics or incentives like cashback or rewards

6. Termination

Either party may terminate this Agreement at any time by written notice. Upon termination:
- You must remove all Ambassador links and Alpha Neon branding
- Commissions on qualifying purchases made before termination will still be paid, subject to standard policies

We reserve the right to withhold payment in the case of suspected fraud, breach of terms, or violations of applicable law.

7. Intellectual Property

You are granted a limited, non-exclusive, revocable licence to use Alpha Neon’s logos and content solely for Ambassador promotion. All intellectual property remains the sole property of Alpha Neon Ltd. You must not:
- Modify or rebrand Alpha Neon assets
- Register any domain or handle containing Alpha Neon or confusingly similar names

8. Limitation of Liability

We are not liable for indirect or consequential loss, including loss of revenue or data. Our total liability under this Agreement shall not exceed the total commissions paid to you in the 12 months preceding the claim.

9. Governing Law

This Agreement shall be governed by and construed under the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England.

10. Amendments

We may update this Agreement at any time. Continued participation in the Program after such changes will constitute your acceptance.

11. Disclosures

You agree to include the following on all promotional materials where Ambassador links are used:

"[Your Name/Brand] is a participant in the Alpha Neon Ambassador Program. This means we may earn commission on qualifying purchases made through links on this site.”

12. ASA and CAP Code Compliance

You are responsible for ensuring that all Ambassador promotions comply with the UK Advertising Standards Authority (ASA) and Committee of Advertising Practice (CAP) Code guidelines. This includes but is not limited to:
- Clearly labeling all Ambassador links with appropriate disclosures such as “#ad”, “Ambassador link”, or “sponsored content”
- Avoiding misleading claims about Alpha Neon’s products, promotions, or results
- Being transparent about your relationship with Alpha Neon when reviewing or endorsing our products

Failure to follow these guidelines may result in removal from the Program and loss of accrued commission. We reserve the right to monitor content and request changes or removals that do not comply with these standards.

13. Mediation and Dispute Resolution

If a dispute arises between you and Alpha Neon in connection with this Agreement or the Program, both parties agree to first attempt to resolve the dispute amicably through informal negotiation.

If the dispute is not resolved within 30 days, the parties agree to engage in mediation before pursuing legal action. Mediation shall be conducted in England by an independent mediator agreed upon by both parties. If mediation fails, the matter will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Content Usage and Rights

By participating in the Program, you grant Alpha Neon Ltd a perpetual, royalty-free, worldwide, non-exclusive licence to use, reproduce, publish, modify, and distribute any content you create in connection with the Program. This includes but is not limited to:
- Social media posts
- Written reviews
- Images
- Videos
- Testimonials
- Any promotional material referencing Alpha Neon or its products

This licence remains in effect even if you leave the Program or your account is terminated.

Alpha Neon may use this content for marketing, advertising, promotional, and commercial purposes across any media now known or developed in the future, without further permission or compensation.

You represent and warrant that any content you submit or publish as part of your Ambassador activities is original or that you have full rights to license it to Alpha Neon under this section.
